Please read these terms and conditions carefully before using our products or services.
1. Introduction
1.1. These Terms and Conditions ("Terms") govern the sale of goods by Redcel Ltd. registered in England & Wales under company number 15928926, with its registered office at C/O Mj Accountancy Suites 2 & 3 Bow Street Chamber, 2a Bow Street, Rugeley, Staffordshire, United Kingdom, WS15 2BT. ("we," "us," "our"), to you ("the Customer," "you," "your").
1.2. By placing an order with Redcel Ltd., you agree to be bound by these Terms to the exclusion of all other terms, including any you may have purported to apply under any purchase order, confirmation of order, or similar document.
1.3. We reserve the right to update these Terms at any time. The version current at the time your order is placed will govern your purchase.
2. Products & Orders
2.1. All products are subject to availability. We reserve the right to discontinue any product at any time.
2.2. Images, descriptions, and specifications of products are for illustrative purposes only. There may be minor variations from the images shown. We make every effort to display colours accurately but cannot guarantee your screen's display will be perfectly accurate.
2.3. All orders are offers by you to purchase goods subject to these Terms. A contract between us ("Contract”) will only be formed when we issue a written order confirmation. We reserve the right to refuse any order at our sole discretion.
3. Pricing & Payment
3.1. Prices are in Pounds Sterling (£) and are exclusive of VAT (which will be added at the prevailing rate) and exclusive of delivery charges (which will be calculated and added at checkout or quoted separately for worldwide orders or non UK Mainland orders).
3.2. We reserve the right to change prices at any time, but changes will not affect orders for which we have already sent an order confirmation.
3.3. Payment is due in full at the time of order, unless we have agreed in writing to alternative payment terms. We use third-party payment processors, and you agree to comply with their terms.
4. Delivery, Installation & Customer Responsibilities
4.1. Delivery Scope: Our standard delivery service is curbside only. This means the goods will be delivered to the nearest accessible point to the delivery address, such as the kerbside or driveway. It is your responsibility to move the goods to their final location within your property.
4.2. Premium Services: "Deluxe In-Home Delivery" or "Installation" services are available for an additional fee and are as described on our website at the time of order. These services are subject to a pre-delivery check; if our delivery team deems the access unsafe or impractical, we reserve the right to revert to a curbside delivery, and a partial refund may be issued.
4.3. Access & Site Survey: You are responsible for ensuring there is adequate and safe access to the delivery point, including clear pathways, suitable doorways, and strong enough flooring. For complex deliveries, we may require a pre-delivery site survey at your cost.
4.4. Inspection & Acceptance: You, or an authorised adult, must be present to inspect and sign for the goods upon delivery. You must check for visible damage and note any concerns on the delivery driver's paperwork before signing. Your signature confirms receipt of the goods in apparent good condition. Any concealed damage must be reported to us in writing within 48 hours of delivery.
5. Risk & Title (Ownership)
5.1. Risk: The risk in the goods (i.e., responsibility for loss or damage) passes to you at the moment they are delivered to the curbside (for Standard Delivery) or the moment they are placed in your home (for Deluxe Delivery).
5.2. Title (Ownership): Legal ownership of the goods will not pass to you until we have received payment in full, including all applicable delivery charges.
6. Cancellation, Returns & Refunds
6.1. Custom & Made-to-Order Goods: Goods that are made to your specific specifications or are clearly personalised cannot be cancelled or returned once the order has been placed, unless they are faulty.
6.2. Standard Returns (Consumer Contracts Regulations): If you are a consumer, you have a legal right to cancel a Contract for standard goods within 14 days of delivery ("Cooling-Off Period"). To cancel, you must inform us in writing.
6.3. Return Process & Costs: If you cancel during the Cooling-Off Period, you are responsible for the cost of returning the goods to us. The goods must be returned in their original, unassembled, and re-saleable condition, in the original packaging. You have a duty of care to return the goods to us safely.
6.4. Restocking Fee: Due to the specialised nature and high shipping costs of our products, we reserve the right to charge a restocking fee of up to [e.g., 20%] for returns of non-faulty items, which will be deducted from your refund.
6.5. Refunds: We will process your refund within 14 days of receiving the returned goods or you providing evidence of having returned them, whichever is earlier. Refunds will be for the product value only; initial delivery charges are non-refundable.
7. Warranties & Liability
7.1. Manufacturer's Warranty: Goods are supplied with a manufacturer's warranty, typically for 12 months against defects in materials and workmanship under normal use. The warranty terms are supplied with the product.
7.2. Our Liability is Limited: We shall not be liable to you for any loss of profit, loss of business, interruption to business, loss of anticipated savings, or any indirect or consequential loss.
7.3. Our total liability to you in connection with any Contract shall not exceed the total price of the goods purchased under that Contract.
7.4. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for any other matter for which it would be illegal to limit or exclude liability.
8. Intellectual Property
All intellectual property rights (including designs, trademarks, and branding) related to our products and website are and shall remain the exclusive property of Redcel Ltd. You are granted no licence to use them without our express written consent.
9. Force Majeure
We will not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to acts of God, war, terrorism, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
10. Governing Law & Jurisdiction
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales.
